2. Client Responsibilities
To help us deliver services effectively, clients agree to:
- Provide accurate and complete information
- Provide required content, branding materials, access credentials, approvals, and feedback on time
- Ensure they have the necessary rights to use all content, images, logos, trademarks, and materials supplied to us
- Review and approve project deliverables within agreed timelines
- Communicate changes or concerns promptly
Delays in providing required information, content, access, or approvals may affect project timelines and delivery dates.
3. Payments
Project fees, payment schedules, and payment terms will be specified in the applicable proposal, quotation, invoice, or service agreement.
Unless otherwise agreed in writing:
- Payments must be made according to the agreed schedule
- Deposits or advance payments may be required before work begins
- Late payments may result in the suspension of services or delayed delivery
- Completed work, files, or website access may be withheld until outstanding payments are received
Payments already made may be non-refundable where work has been completed or resources have been committed, subject to the terms agreed for the specific project.
4. Revisions and Changes
Any included revisions will be specified in the applicable project proposal or agreement.
Requests outside the agreed project scope, including additional features, pages, services, or significant design changes, may require a revised timeline and additional fees. Versgen will communicate any applicable changes before beginning additional work.
5. Intellectual Property
Unless otherwise agreed in writing, ownership of final approved project deliverables will transfer to the client after full payment has been received.
Versgen may retain ownership of:
- Pre-existing tools, templates, frameworks, code, processes, and methodologies
- Third-party software, plugins, fonts, themes, stock assets, and licensed materials
- Internal systems and reusable components
Third-party materials remain subject to their respective licenses and terms.
Versgen may display completed work in its portfolio, website, social media, case studies, or promotional materials unless otherwise agreed in writing.
6. Third-Party Services
Our services may involve third-party platforms, software, hosting providers, plugins, payment processors, advertising platforms, analytics tools, or other services.
Versgen is not responsible for third-party service availability, policy changes, security incidents, pricing changes, account restrictions, outages, or changes made by third-party providers.
Clients may be responsible for applicable third-party subscriptions, licenses, advertising budgets, hosting fees, domain fees, or software costs unless otherwise stated in writing.
7. SEO and Digital Marketing Results
Versgen uses professional and ethical strategies to improve website visibility, search engine optimization, digital marketing performance, and online growth.
However, we do not guarantee:
- Specific search engine rankings
- A particular number of website visitors
- A fixed number of leads or sales
- Specific advertising results
- Revenue, profit, or business growth outcomes
Search engine rankings and marketing results may be affected by competition, algorithms, market conditions, website history, advertising budgets, client participation, and third-party platform changes.
8. AI Automation Services
AI-powered tools and automation systems may generate inaccurate, incomplete, or unexpected results.
Clients are responsible for reviewing and verifying AI-generated content, recommendations, outputs, and automated actions before relying on or publishing them.
Versgen does not guarantee that AI systems will operate without errors or interruptions.
9. Confidentiality
Both Versgen and the client agree to protect confidential business information shared during a project and not disclose it to unauthorized parties, except when required to provide services, comply with legal obligations, or as otherwise agreed in writing.
10. Service Availability
We aim to provide reliable and professional digital services. However, we do not guarantee that our website or services will always be uninterrupted, error-free, or available at all times.
Maintenance, updates, technical issues, third-party outages, or circumstances outside our control may affect availability.
11. Limitation of Liability
To the maximum extent permitted by applicable law, Versgen will not be liable for indirect, incidental, special, consequential, or business-related losses, including loss of profits, revenue, data, opportunities, or business reputation.
Our total liability related to a specific service will not exceed the amount paid by the client to Versgen for the service giving rise to the claim, unless applicable law requires otherwise.
12. Termination
Either party may terminate a service engagement according to the terms stated in the applicable proposal, agreement, or written arrangement.
Upon termination:
- The client remains responsible for payment for work completed and approved expenses incurred
- Any outstanding invoices become payable according to the agreed terms
- Access to services, project files, or systems may be suspended or removed where permitted
13. Website Use
You agree not to use the Versgen website to:
- Violate applicable laws or regulations
- Attempt unauthorized access to our systems
- Introduce malware, harmful code, or disruptive technology
- Interfere with website security or functionality
- Copy, reproduce, or misuse website content without permission
